GiftCardEZ Terms of Service

GiftCardEZ provides a hosted software platform that enables independent businesses ("Merchants") to sell, manage, deliver, and redeem their own closed-loop digital gift cards. GiftCardEZ is a software provider only. Unless separately stated in writing, GiftCardEZ is not the merchant of record, does not issue gift cards in its own name, does not hold customer funds for gift card purchases, and does not control Merchant business practices.

GiftCardEZ does not provide general-purpose prepaid cards, card-network payment products, cross-merchant gift cards, cash-equivalent products, or gift card resale services. GiftCardEZ-powered gift cards are intended to be redeemable only with the Merchant that issued them.

Each Merchant is responsible for the gift cards sold through its account, including fulfillment, honoring valid balances, customer support, refund decisions, expiration rules, tax treatment, and compliance with applicable laws.

These Terms apply to Merchants, Merchant team members, and anyone who accesses the GiftCardEZ website, dashboard, checkout, redemption flow, APIs, or related services. Customers who purchase or receive a gift card are also subject to the Merchant's gift card terms, policies, and applicable law.

If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

Merchants must provide accurate business, contact, tax, branding, payout, and gift card information. Merchants are responsible for keeping account information current, training staff who access the Service, safeguarding redemption credentials or PINs, and preventing unauthorized use of their account.

Merchants agree to honor valid gift cards sold through their account and to resolve customer disputes related to their products, services, policies, staff, closures, refunds, redemptions, promotions, and gift card balances.

Payments made through the Service are processed by third-party payment processors, including Stripe and Stripe Connect. By using GiftCardEZ, you agree that payment processing, payouts, chargebacks, holds, reserves, identity verification, and account restrictions may be governed by the payment processor's terms and policies.

Merchants may be required to agree to Stripe's Connected Account Agreement, Stripe Services Agreement, and other Stripe terms. Stripe may process payment, identity, payout, fraud-prevention, and related information according to Stripe's terms and privacy policy.

Customer payments for Merchant gift card purchases are processed through the Merchant's connected payment processor account when enabled. GiftCardEZ does not control payment approvals, declines, settlement timing, chargeback outcomes, processor fees, reserves, payout holds, or processor account suspensions. Merchants are responsible for maintaining their payment processor account in good standing.

GiftCardEZ does not guarantee approval, onboarding, continued availability, or uninterrupted access to any payment processor account or payment method.

Merchants agree to pay all applicable subscription fees, transaction fees, platform fees, setup fees, add-on fees, and taxes described in their selected plan or checkout flow. Fees may be billed through GiftCardEZ, Stripe, or another authorized billing provider.

Unless required by law or expressly stated in writing, fees are non-refundable. GiftCardEZ may update fees or plans with reasonable notice. Failure to pay may result in suspension, downgrade, or termination of access. Additional refund, cancellation, credit, and billing terms for GiftCardEZ platform charges are described in the Billing Policy.

Merchants may use GiftCardEZ only for Merchant-issued, closed-loop gift cards redeemable with the issuing Merchant. Merchants may not use GiftCardEZ to sell general-purpose prepaid cards, transferable cash-equivalent products, cross-merchant gift cards, resale cards, or card-network payment products.

Gift card laws vary by jurisdiction and may regulate expiration dates, fees, cash redemption, refunds, escheatment, disclosures, promotional cards, and tax treatment. Merchants are solely responsible for determining and complying with the laws that apply to their business and customers.

GiftCardEZ does not provide legal, tax, accounting, or regulatory advice and does not guarantee that a Merchant's gift card program, expiration policy, promotional offer, or redemption practice complies with applicable law.

Merchants are responsible for refund decisions, customer service, disputed balances, failed delivery claims, mistaken recipient information, fraud claims, and chargebacks related to their gift card sales. GiftCardEZ may provide tools or records to help review disputes, but the Merchant remains responsible for the underlying transaction and customer relationship.

GiftCardEZ may reverse platform actions, suspend redemptions, preserve records, or restrict account activity when needed to investigate suspected fraud, abuse, processor disputes, legal requests, or platform risk.

Merchants are responsible for determining, collecting, reporting, and remitting any taxes, assessments, unclaimed property obligations, or similar amounts related to gift card sales, redemptions, fees, and business operations. GiftCardEZ may provide transaction records, but those records are not tax advice.

You are responsible for safeguarding login credentials, invited team member access, redemption tools, and all activity under your account. You must notify GiftCardEZ promptly if you suspect unauthorized access, compromised credentials, fraudulent activity, or incorrect account configuration.

GiftCardEZ is not liable for losses caused by unauthorized access resulting from your failure to secure credentials, devices, email accounts, payment processor accounts, or staff permissions.

You may not use the Service for unlawful, misleading, abusive, high-risk, or processor-prohibited activity. You may not interfere with platform operations, bypass security controls, scrape or copy proprietary functionality, reverse engineer the Service, submit malicious code, misrepresent gift card terms, or use GiftCardEZ in a way that harms customers, Merchants, payment processors, or the platform.

Merchants may not use the Service for businesses, products, services, or activities prohibited or restricted by applicable law, GiftCardEZ policies, or GiftCardEZ's payment processors or service providers. This includes using GiftCardEZ for cross-merchant redemption, resale programs, money transmission, general-purpose payment products, crypto, gambling, adult services, CBD, or other restricted categories unless GiftCardEZ and its providers expressly approve the use in writing.

GiftCardEZ may suspend or terminate accounts that violate these Terms, create legal or financial risk, trigger processor restrictions, or threaten the reliability or reputation of the Service.

GiftCardEZ collects and processes account, business, customer, order, gift card, redemption, and technical information as needed to provide the Service. Our handling of personal information is described in our Privacy Policy.

Merchants are responsible for having any customer-facing privacy notices, consents, and business policies required for their own operations.

The Service is provided "as is" and "as available." GiftCardEZ does not guarantee uninterrupted, secure, or error-free operation. We may update, modify, suspend, or discontinue features at any time, including to improve the platform, comply with law, address security or fraud risks, or satisfy payment processor requirements.

GiftCardEZ owns the platform software, workflows, designs, branding, documentation, and proprietary systems. Merchants retain ownership of their logos, business names, menu or service information, and other materials they provide. Merchants grant GiftCardEZ a limited license to host, process, display, and transmit those materials solely to provide, support, and improve the Service.

You agree that GiftCardEZ may send service, billing, security, onboarding, support, and transactional communications related to your account and use of the Service. Merchants are responsible for ensuring that customer email addresses and delivery instructions submitted through the Service are accurate and lawfully collected.

GiftCardEZ may suspend or terminate access if you violate these Terms, fail to pay fees, create platform or processor risk, provide inaccurate information, experience payment processor restrictions, or use the Service in a way that may harm GiftCardEZ, customers, Merchants, or third parties.

You may cancel your account subject to outstanding obligations. Account cancellation does not eliminate a Merchant's responsibility to honor valid gift cards, resolve customer disputes, pay amounts owed, preserve required records, or comply with applicable law.

To the maximum extent permitted by law, GiftCardEZ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, regulatory compliance, and error-free performance.

To the maximum extent permitted by law, GiftCardEZ shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; business interruption; chargebacks; fraud; payment processor actions; customer disputes; regulatory compliance issues; tax obligations; data loss beyond our reasonable control; or inability to access the Service.

GiftCardEZ's total liability for any claim shall not exceed the total fees paid by you to GiftCardEZ in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless GiftCardEZ and its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your business operations, gift card issuance or redemption, customer disputes, taxes, payment disputes, violation of law, breach of these Terms, or misuse of the Service.

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Subject to any mandatory law that provides otherwise, disputes shall be resolved in the state or federal courts located in Georgia.

GiftCardEZ may update these Terms from time to time. Updates are effective when posted unless a later date is stated. Continued use of the Service after updates constitutes acceptance of the revised Terms.
